By using our investment services, you represent and warrant that you meet all applicable eligibility requirements and that you are accessing our Services in compliance with the laws of your jurisdiction.

3. SMS/Text Messaging Terms

By opting in to receive text messages from Yieldz Holdings Inc., you agree to the following terms:

Business Identity

Yieldz Holdings Inc. provides SMS messaging services to keep you informed about investment and account updates (token distribution notifications, yield updates, portfolio alerts, KYC status updates), appointment and consultation reminders (scheduled calls, meetings, and consultations with the Yieldz team), promotional and event notifications (new podcast episode alerts, Bitcoin conference announcements, product launches, and special offers), service updates and platform notifications, and other communications related to our services.

Message Frequency

As always, message and data rates may apply for any messages sent to you from us and to us from you. You will receive recurring messages, with frequency varying based on your engagement status, account activity, appointments, and preferences. If you have any questions about your text plan or data plan, it is best to contact your wireless provider.

Opt-Out Instructions

You can cancel the SMS service at any time. Just text "STOP" to [PHONE NUMBER]. After you send the SMS message "STOP" to us, we will send you an SMS message to confirm that you have been unsubscribed. After this, you will no longer receive SMS messages from us. If you want to join again, just sign up as you did the first time and we will start sending SMS messages to you again.

YLDZ tokens are offered as Reg D 506(C) securities and are available only to verified accredited investors as defined by the SEC. The purchase of YLDZ tokens constitutes an investment in a security and is subject to all applicable federal and state securities laws.

No Guarantee of Returns

All yield figures, APY projections, and return estimates referenced on our Services, including the Yieldz Media Podcast, are variable and not guaranteed. Past performance does not guarantee future results. The value of digital assets, including Bitcoin and YLDZ tokens, may fluctuate, and you may lose some or all of your investment.

Self-Custody Responsibility

Yieldz Holdings Inc. provides self-custody wallet infrastructure. You are solely responsible for maintaining the security of your wallet credentials, private keys, and seed phrases. We do not store your private keys and cannot recover lost wallet access. Loss of your private keys may result in permanent and irreversible loss of your digital assets.

Lockup Period

YLDZ tokens are subject to a lockup period as specified at the time of purchase. You acknowledge and agree that you may not be able to sell, transfer, or redeem your tokens during this period.

Tax Responsibility

You are solely responsible for determining and fulfilling your tax obligations related to any digital asset transactions, distributions, or yield received through our Services. Yieldz Holdings Inc. does not provide tax advice. The Return of Capital (ROC) distribution characterization is based on current expectations and may change. Consult a qualified tax professional regarding your specific situation.

Regulatory Compliance

Our Services are subject to applicable securities regulations, anti-money laundering (AML) laws, and Know Your Customer (KYC) requirements. You agree to provide accurate identification documentation and information as required for compliance verification. We reserve the right to suspend or terminate your account if we are unable to verify your identity or if we suspect fraudulent activity.

Educational Content Disclaimer

The content provided through the Yieldz Media Podcast, including discussions, interviews, and commentary by hosts Justin Walton, Dan Thompson, and Emerson Walton, is intended for educational and informational purposes only. It does not constitute investment advice, financial advice, insurance advice, tax advice, or a recommendation to purchase any security or financial instrument.

Guest Opinions

Opinions expressed by podcast guests are their own and do not necessarily reflect the views or positions of Yieldz Holdings Inc. Guest appearances do not constitute an endorsement of any guest's products, services, or investment strategies.

Content Repurposing

By appearing as a guest on the Yieldz Media Podcast, guests grant Yieldz Holdings Inc. a non-exclusive, royalty-free, perpetual license to use, reproduce, distribute, and repurpose the recorded content across all digital channels, including but not limited to YouTube, Spotify, Apple Podcasts, blog content, short-form video, social media, and backlink authority distribution.

No Professional Relationship

Listening to or engaging with our podcast content does not establish a client-advisor, client-attorney, or any professional relationship between you and Yieldz Holdings Inc. or any of its hosts, employees, or guests.

6. Consultations and Services

Consultation Scheduling

We strive to meet scheduled appointment times but cannot guarantee availability within a specific window due to client demands and team availability.

Service Agreements

Formal investment engagements, insurance planning, and financial strategy services require a separate written contract outlining scope, deliverables, timeline, payment terms, and other project-specific details. These Terms do not constitute an investment agreement.

7. User Accounts

You may be required to create an account to use certain features of our Services, including the Yieldz platform, token purchases, and wallet access. You are responsible for maintaining the confidentiality of your credentials. You agree not to impersonate another person or provide false information. You must be 18 years of age or older to register for an account and only one (1) account is allowed per person.

You agree to provide accurate, current, and complete information during the registration and KYC verification process, and to update such information to keep it accurate, current, and complete.

All content on our Services, including but not limited to logos, images, text, podcast episodes, audio recordings, video content, graphics, software, and the Yieldz brand identity, is the property of Yieldz Holdings Inc. or its licensors and is protected by intellectual property laws. You may not reproduce, distribute, modify, or create derivative works from this content without our express written permission.

The Yieldz name, Yieldz logo, YLDZ, Y-surance, and all related names, logos, product and service names, designs, and slogans are trademarks of Yieldz Holdings Inc. You may not use such marks without our prior written permission.

9. User Content

If you submit reviews, feedback, podcast guest applications, or other content through our Services, you grant us a non-exclusive, royalty-free license to use, display, and reproduce that content for promotional, operational, and educational purposes. We reserve the right to remove any content we deem inappropriate or inconsistent with our brand standards.

10. Prohibited Conduct

You agree not to:

• Use our Services for any unlawful purpose or in violation of any applicable laws or regulations
• Attempt to gain unauthorized access to any portion of our Services, other user accounts, or any systems or networks connected to our Services
• Interfere with or disrupt the operation of our Services
• Use automated means (bots, scrapers, etc.) to access our Services without our express written permission
• Misrepresent your identity, accreditation status, or eligibility for investment services
• Use our Services to conduct money laundering, terrorist financing, or other financial crimes

12. Limitation of Liability
